Terms & Conditions of Use (New Zealand + International)

1) Agreement and scope

These Terms form a binding agreement between SimplifyNumbers.com (operating from New Zealand) and you. By using the website, calculators, or downloading resources (“Services”), you agree to these Terms.

International users: You may also have mandatory rights under the laws of your country. Nothing in these Terms is intended to exclude rights that cannot legally be excluded.

2) Intellectual property

All content and materials (including calculators, scoring logic, text, design, code, templates, downloads, and branding) are owned by us or our licensors and protected by New Zealand and international IP laws.

Licence: We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal or internal business use.

You must not:

• sell, sublicense, or commercially exploit our tools/templates (unless we expressly license you);
• copy, republish, or redistribute content (except where explicitly allowed);
• reverse engineer, decompile, or attempt to extract source code, formulas, or underlying scoring logic;
• remove proprietary notices.

3) Nature of services (no professional advice)

The Services are educational and informational only.

• We are not providing financial, accounting, tax, or legal advice.
• You are responsible for verifying outputs and obtaining professional advice for your situation.
• Calculator outputs are estimates based on your inputs and assumptions.

Financial advice / FAP clarification (NZ): If any content could be interpreted as regulated financial advice, you should treat it as general information only. The Financial Markets Authority describes a Financial Advice Provider (FAP) as an entity providing a “financial advice service”; anyone giving regulated financial advice to retail clients must hold or operate under a FAP licence.

4) Acceptable use

You agree not to:

• misuse the Services, attempt unauthorised access, or disrupt the website;
• upload or transmit malware;
• use the Services to violate any law or third-party rights.

5) Availability and changes

We may modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted or error-free operation.

6) Fees, taxes, and refunds (digital products)

Where paid digital products are offered:

• Prices are as stated at checkout and may be subject to applicable taxes.
• All sales are final unless required otherwise by law or the product is materially defective and we cannot provide a replacement.

7) Consumer Guarantees Act 1993 (NZ)

NZ consumers (personal/domestic use): You may have rights under the Consumer Guarantees Act 1993 (CGA) that cannot be excluded.

Business use (contracting out): If you acquire the Services for business purposes, you agree that—where legally permitted—the CGA does not apply and it is fair and reasonable to contract out. (The CGA allows contracting out in business-to-business transactions in certain circumstances.)

8) Limitation of liability

To the fullest extent permitted by law:

• We are not liable for indirect or consequential loss (including lost profits, lost data, or business interruption) arising from your use of the Services.
• Our total liability for any claim relating to the Services is limited to the greater of:
  • the amount you paid to us in the 6 months before the claim, or
  • NZD $100.

This limitation does not apply to liability that cannot be limited or excluded by law.

9) Termination

We may suspend or terminate your access if you breach these Terms or misuse the Services.

10) Governing law and jurisdiction

These Terms are governed by New Zealand law. You agree to submit to the exclusive jurisdiction of New Zealand courts for disputes arising out of or relating to these Terms—subject to any mandatory consumer protection rights you may have in your home jurisdiction.
